本文件阐述了买方(“买方”)购买钢铁所依据的条款和条件 & O’Brien (“Seller”) will sell the product, 买方订购的配件和附件(统称“产品”). 本条款和条件适用于向买方销售卖方产品, 无论买方向卖方提交的任何采购订单或其他表格上出现任何条款和条件，或其中任何条款与本协议不一致.
1. General
- 卖方保留在任何时候以任何理由拒绝任何订单的权利.
- Orders for other than standard items or standard lengths, may not be cancelled after purchase has been committed, production scheduled or any other costs incurred.
2. Price
All prices F.O.B. Sellers facility. 所有价格均不包括任何和所有税费，包括但不限于消费税、销售和使用税. Unless otherwise specified herein, all prices are exclusive of transportation, freight, insurance and other costs and expenses, relating to the shipment of the Products from the F.O.B. point to Purchaser’s facility. 3. Payment Terms
Payment terms are as follows:
- 0.5% 10 days (to approved and qualified accounts.) Net 30 days. 这是对发票日期后10天内付款的现金折扣, regardless of date of receipt of shipment.
- Seller reserves the right to alter payment terms.

4. Freight Terms

- Freight prepaid on $750.00 net invoice on gaskets only. Applies to Continental USA (48 States).
- Freight prepaid on $1,500.00 net invoice on all combined products of Seller excluding tubing. Order cannot be all clamps or flanges. Applies to Continental USA (48 States).
- Freight prepaid on $10,000.00 net invoice on tubing only. 燃油附加费在装运时征收，并加在最终发票上. 东部各州1万美元，山区和西部各州1.5万美元.

5. Acceptance of Product

6. Return of Defective Products

7. Products Ordered in Error
Standard products only may be returned, 但索赔须在收到经卖方批准的产品后30天内提出并通知卖方. If Products are accepted for return, they must be freight prepaid, and buyer will be charged a minimum of 25% re-handling charge, 如果原始订单是预付运费，再加上出境运费的费用. Returns are not 为满足买方规格要求或大量要求而专门制造的任何产品均可接受.
8. Cautionary Statement

9. Warranty

10. Force Majeure
由于恶劣天气导致的任何履约延误或不履约，我方概不负责, floods, fire, war, acts of third parties, acts of governmental authority or agency or commission thereof, accident, breakdown of equipment, 与员工之间的差异或我们无法控制的相似或不同原因, including but not limited to those interfering with production, supply, transportation of products, raw materials or components, or our ability to obtain, on terms we deem reasonable, material, labor equipment or transportation.
11. Assignment and Governing
未经另一方书面同意，任何一方不得转让本协议. 本协议受纽约州法律管辖并按纽约州法律解释.
12. Non-Stock Orders
请注意，所有非库存订单有5%的欠货/超支政策. Non-Returnable and Non-Cancellable on all Non-Stock orders. 需要定制包装的部件可能会收取板条箱费. 根据收到客户批准的特殊图纸交货.
13. Quotes
All prices are based on quantity quoted on the exact quote. Price is subject to change if quantity differs upon ordering. All quotes are good for (7) days from quote date.
